
Ceredigion Guild of Weavers, Spinners and Dyers Constitution

1. Name
The Guild shall be called the “Ceredigion Guild of Weavers Spinners and Dyers”
2. Objectives
The objectives of the Guild shall be
a)to maintain and develop the handicrafts of spinning weaving and dyeing;
b)to work together with kindred bodies;
c)to assist members in selling their work;
d)to encourage and maintain integrity and excellence of craftsmanship in handweaving, spinning and dyeing;
e)to foster a sense of beauty of material, texture, colour and design;
f)to provide opportunities for the interchange of information and for enlarging knowledge at holiday school, exhibitions, lectures and library facilities.
3. MEMBERSHIP
Membership of the Guild shall be open to all who support its objectives.
4.ANNUAL GENERAL MEETING
The management of the Guild shall be conducted by the Members at an Annual General Meeting to be held in September.The Hon. Secretary will notify each member at least three weeks before the AGM that nominations are required for the election of the Chairman, Hon. Treasurer, Hon. Secretary and the permitted number of GPC members and that the nominations, together with the consent of each nominee, must reach them in writing at least a week before the AGM.
It was agreed at the AGM September 2023 that the role of Vice Chairman would be removed as an elected position.
The Hon Secretary will send each member a notice and agenda for the AGM at least three weeks prior.
At General Meetings of the Guild one quarter of the membership shall constitute a quorum.
Motions must be proposed and seconded in person. Each member present shall have one vote; proxies will not be accepted.
The financial accounts of the Guild shall be presented at the AGM by the Hon. Treasurer; they shall have been examined by an appropriate person appointed at the previous AGM.
5.ADMINISTRATION
The administration of the Guild shall be conducted by a General Purposes Committee with full powers to act on all matters, except changes in the membership subscription, changes in the constitution, or the dissolution of the Guild.In the event of the Guild being dissolved, such dissolution must be decided by no fewer than two-thirds of votes at a General Meeting, specifically called for the purpose. The committee should be empowered to dispose of any surplus funds subject to the approval of the said General Meeting.The financial year of the Guild shall begin on the 1st October
EXPENDITURE
At the discretion of the committee the Guild may
a)reimburse officers and members of the committee for reasonable expenses incurred in the pursuance of duties for the Guild
b)rent, hire or buy accommodation and materials for the Guild’s use
c)make ex-gratia payments
d)make affiliation with other organizations.
6.GENERAL PURPOSES COMMITTEE
The GPC shall consist of eight members, including the Chairman, Hon Treasurer and Hon, Secretary. Election shall be for one year and shall be by voting at the AGM
A member may serve on the GPC for up to three years consecutively, subject only to annual re-election at the AGM, after which they shall not be eligible for re-election to the committee until one year has elapsed, except that a person serving in a general capacity on the GPC may, if elected, serve a further three years as Chairman or Hon. Secretary or Hon. Treasurer, before having to stand down.
At GPC meetings five members shall constitute a quorum
The GPC shall meet at least three times a year.
The Hon. Treasurer shall submit an up-to-date statement of account at each GPC meeting.
The GPC may co-opt additional members for special duties.
7.EXTRAORDINARY GENERAL MEETING
An Extraordinary General Meeting shall be convened within six weeks of a request signed by six or more members stating the matters to be raised; the procedure shall be the same as for that of the AGM, except that only the specified matters may be discussed.
8.MEMBERSHIP YEAR
The membership year shall begin on the 1st October. The annual membership subscription shall be decided at the AGM in September.
Persons failing to renew their membership by the 1st November shall forfeit their membership. There will be no refund of subscription on resignation.
September 2025
